Terms of Engagement
Effective from 1 February 2026.
These are the standing terms under which Orbiflex Studio Pte Ltd (UEN 202418937K, the “Studio”) accepts design and design-and-build commissions. They are read alongside the bespoke letter of engagement issued for each project, which always takes precedence where the two documents differ.
1. The commission
A commission begins on the day the Studio counter-signs your letter of engagement and the schematic deposit has cleared. Until that day, no estimate or document we issue should be relied on as a contractual offer.
2. Fees and pricing
Design fees are quoted as a fixed sum or as a percentage of the build cost, and are stated in writing on the engagement letter. For design-and-build commissions, a single fixed price is presented after the schematic stage is signed off. That price is held to handover. Any change requested by the client after sign-off is presented in writing as a variation order, with a stand-alone price, and is not actioned until the variation is signed.
3. Payment milestones
Unless agreed otherwise, fees are released across five milestones: appointment, schematic sign-off, documentation issue, structural completion, and handover. Invoices are payable within fourteen days. Late payment after thirty days suspends the work until the invoice is settled and may attract interest at three per cent above the prevailing prime lending rate of DBS Bank.
4. Cancellation by the client
You may end a commission at any time by giving us written notice. We will invoice for work performed up to that day, including drawings prepared, materials ordered and trades booked. We do not charge a cancellation premium beyond what has been spent on your project.
5. Cancellation by the studio
The Studio may end a commission only on grounds of fundamental breach — for example, persistent non-payment, or a request to perform work that contravenes building regulations or compromises safety. Where this happens we hand over all drawings prepared to date and refund any unspent deposit.
6. Intellectual property
Drawings, models and specifications produced by the Studio remain our intellectual property until handover. From handover, you receive a perpetual licence to use them for the project they were prepared for. They are not licensed for use on other properties.
7. Photography and publication
We sometimes wish to photograph completed projects. We will only do so with your written consent, and the consent may name specific images, channels and a publication window. Without consent, no image of your residence is shared.
8. Warranties
The Studio warrants its drawings against errors of documentation. Joinery and stonework supplied through our partner workshops carry a five-year workmanship warranty. Construction work delivered through nominated contractors carries the warranty stated in the relevant trade contract.
9. Liability
Our aggregate liability under any commission is capped at the total fees invoiced, except in cases of personal injury or willful misconduct, where statutory limits apply. We carry professional indemnity and public liability insurance, and will share certificates on written request.
10. Governing law
These terms are governed by the law of Singapore. The courts of Singapore have exclusive jurisdiction over any dispute, with mediation through the Singapore Mediation Centre as a preferred first step. Where a project is delivered through our Melbourne office, we may agree to substitute Victorian law in the engagement letter.
